Updated LIAA Board Formation Process

Board of Directors Formation Plan

 

Our intent

·      Ensure the Board has high performing leadership in its President, Treasurer, and Committee Chairs

·      Give the alumni a voice by allowing them to elect the Alumni Board of Directors

·      Ensure continuity and institutional knowledge between Boards

 

We envision a Board with the following structure:

·      15 members

·      All members elected

·      Staggered elections, with 3 year terms, and 5 members turning over per year

·      Board members elect the President for a 2-year term from among the Board’s existing members

·      The Board is composed of committees (e.g., Finance, Social, Lauder Global Alumni Weekend)

·      Board members elect committee chairs for 2 year terms from among its members

 

Our current state is different from our future state

·      All 8 board members are slated to end their terms

·      6 Board members were elected; 3 Board members were appointed

·      The President was selected by the 6 elected Board Members

 

We need to take intermediate steps to move from current state to our future state while achieving our intent

·      To ensure the Board has high performing leadership in its President, Treasurer, and Committee Chairs

o   Appoint a President and a Treasurer based on vision statement and interviews

o   Enable the incoming President to appoint up to 3 members as needed after the general elections

·      To give the alumni a voice by allowing them to elect the Alumni Board of Directors

o   Hold elections for 5 additional alumni to serve on the Board

o   All alumni running for a board position will submit a vision statement to be shared as part of the election process

·      To ensure continuity and institutional knowledge between Boards

o   If no current Board Members are appointed or elected to the new Board, the current President and potentially other current Board Members may be invited to serve as informal advisors for a period to be mutually agreed upon by the incoming President and the advisors

o   In 2018:

§  Hold elections for 5 additional alumni to serve on the Board

§  This will bring the number to 15

o   In 2019

§  Provide the option for the 10 members who began in 2017 to continue or step down

§  Hold elections for 5 additional alumni to serve on the Board

§  This will bring the number to between 10 and 20 Board Members

o   In 2020

§  Those Board Members from 2017 who remained will have served out their 3-year term and will have the option to run again or step down

§  Hold elections for 5 additional alumni to serve on the Board

§  This will bring the number to 15 Board Members
